These Terms of Service ("Terms") govern your use of the NexGuild desktop application ("NexGuild,"
"the app," "the software"). By installing, signing in to, or using NexGuild, you agree to these
Terms. If you use the Marketplace or Gifting features, the separate
Terms and Conditions also apply to those features specifically. See also
our Privacy Policy.

1. Eligibility

You must be at least 13 years old, or the higher minimum age required by Discord's own Terms of
Service or the law of your country (whichever is greater), and you must hold, in good standing, a
Discord account and a Microsoft account — both independently governed by their own providers' terms.
If you are using NexGuild on behalf of a minor's Discord account, or you are a parent/guardian aware
that a minor in your household has access to NexGuild, you are responsible for supervising that use;
we have no independent means of verifying anyone's age beyond what Discord and Microsoft already
require of their own account holders.

2. What NexGuild is

NexGuild is a Windows desktop application that lets you build and run Discord bots you control,
using a visual node-graph editor, without writing code. NexGuild runs on your own computer; your
bots are only online while your PC is running NexGuild. NexGuild is not a hosting service, and we
do not run your bots on your behalf on any server we operate.

3. Work-in-progress software

NexGuild is under active development. Features may be incomplete, may change, or may be removed
between versions, and you may encounter bugs. We make no promise that any specific feature is
finished or bug-free at any given time; see §10 (disclaimer of warranties).

4. License grant

Subject to these Terms and to the Microsoft Store's own terms of sale, we grant you a personal,
non-exclusive, non-transferable, revocable license to install and use NexGuild on devices you own
or control, for your own personal or organizational use. You may not: reverse engineer, decompile,
or disassemble NexGuild beyond what applicable law expressly permits notwithstanding this
restriction; redistribute, resell, or sublicense the software itself; or use it to build a
competing product.

5. Your account and your bots

• You are responsible for keeping your Microsoft account credentials secure; NexGuild's sign-in is
  handled entirely by Microsoft's identity platform.
• You are responsible for the Discord bot token(s) you add, and for your bot's behavior in every
  server you configure it for. Bot tokens are yours — obtained from Discord's own Developer Portal
  — and remain subject to
  Discord's Developer Terms of Service
  and Community Guidelines at all times.
• One NexGuild account may designate collaborators with access to manage bots, subject to whatever
  scope you grant them; you are responsible for what you grant, and for any action a collaborator
  takes using access you granted them.
• An unrestricted owner super-user role exists for the software's original publisher only, used
  for maintenance/support purposes; it is not available to any other account.
• You are solely responsible for configuring, testing, and moderating the automations (command/event
  graphs) you build — including any that moderate members, manage roles/channels, or otherwise take
  action inside a Discord server. We strongly recommend testing any new or imported configuration
  (including one downloaded from the Marketplace) in a non-production/test server before enabling it
  on a server that matters to you.

6. Subscriptions and billing

• NexGuild offers a Free tier and three paid tiers — Plus, Pro, and Enterprise —
  each available Monthly or Yearly (yearly billed at ten months' price). Paid tiers unlock
  additional modules/features per the in-app Subscriptions page's tier table.
• All paid tiers are sold as Microsoft Store in-app products, billed per NexGuild account.
  Purchases, renewals, cancellations, and refunds are governed by
  Microsoft Store's own terms and refund policy
  — we do not process payments ourselves and cannot directly issue refunds; contact Microsoft
  Store support for billing disputes.
• Subscriptions auto-renew unless cancelled through the Microsoft Store, per Microsoft's own
  subscription-management rules.
• Free Premium via top.gg vote: voting for our bot on top.gg may grant a temporary premium
  entitlement (currently modeled as a limited-duration grant with a cooldown between votes). This is
  a promotional mechanic we may change, limit, or discontinue at any time, has no cash value, and is
  not a substitute for a paid subscription. This feature may not be active in every release — check
  the in-app Free Premium page for its current availability.

7. Acceptable use

You agree not to:

• Use NexGuild to violate Discord's Developer Terms, Community Guidelines, or any Discord server's
  own rules.
• Attempt to circumvent tier gating, forge entitlement state, or otherwise access paid features
  without a valid subscription or grant.
• Use the Marketplace or Gifting features outside the rules in the Terms and
  Conditions.
• Use NexGuild for any unlawful purpose, or in a way that could disable, overburden, or impair any
  service NexGuild connects to (Discord, Microsoft, or any optional integration).
• Use NexGuild to build or operate a bot that harasses, defrauds, or endangers any person, or that
  processes another person's data in violation of applicable law — you, not us, control what your
  bot does and who it affects.

8. Third parties; no duty to non-users

NexGuild is a tool: you (the "Account Holder") design and configure what your bot does, and you
choose which Discord server(s) to run it in. Members of your Discord server, and anyone else your
bot interacts with, are not parties to these Terms and are not our users — we have no
relationship with them, collect no information from them beyond what §2 of the
Privacy Policy describes, and owe them no duty of any kind. Any claim, dispute,
or complaint arising from what a bot you configured did to a server or its members is between you
and that person — not us — to the fullest extent permitted by law. If a third party (a server
member, another rights holder, or anyone else) brings a claim against us arising from your bot's
configuration or behavior, §12 (indemnification) applies.

9. Relationship of the parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship
between you and us. You do not have authority to act on our behalf, and we do not have authority to
act on yours (including inside your Discord server) — a bot only does what your own configuration
tells it to do.

10. Disclaimer of warranties

NEXGUILD IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED,
INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR
THAT ANY GIVEN MODULE OR FEATURE WORKS AS DESCRIBED AT ANY GIVEN TIME, GIVEN THE SOFTWARE'S
WORK-IN-PROGRESS NATURE (§3). NEXGUILD IS NOT A MODERATION, SECURITY, FINANCIAL, OR SAFETY PRODUCT —
IN-APP "ECONOMY"/CURRENCY FEATURES HAVE NO REAL-WORLD VALUE, AND MODERATION-RELATED FEATURES
(AUTOMOD, PUNISHMENT LADDERS, VERIFICATION, ETC.) ARE PROVIDED AS CONFIGURABLE AUTOMATION ONLY, NOT
AS A GUARANTEE THAT YOUR SERVER OR ITS MEMBERS WILL BE PROTECTED FROM ANY PARTICULAR HARM. NOTHING IN
THIS SECTION LIMITS ANY WARRANTY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL NEXUS STUDIOS SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE,
PROFITS, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO YOUR USE OF NEXGUILD,
INCLUDING (WITHOUT LIMITATION): ANY ACTION TAKEN BY A BOT YOU CONFIGURE; ANY EFFECT ON YOUR DISCORD
SERVER OR ITS MEMBERS; ANY LOSS OF DISCORD BOT TOKENS OR LOCAL DATA; ANY CONFIGURATION DOWNLOADED
FROM THE MARKETPLACE; OR ANY THIRD-PARTY SERVICE (DISCORD, MICROSOFT, TOP.GG, OR ANY OPTIONAL
INTEGRATION) BEING UNAVAILABLE, MISBEHAVING, OR CHANGING ITS OWN TERMS. OUR TOTAL, AGGREGATE
LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR NEXGUILD, WHETHER IN
CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE TOTAL AMOUNT YOU ACTUALLY PAID US IN THE 12 MONTHS
BEFORE THE CLAIM AROSE (WHICH IS ZERO IF YOU USE ONLY THE FREE TIER). THIS SECTION DOES NOT LIMIT
LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR
EXCLUDED. THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW EVEN IF ANY
REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Neural Nexus Studios and its owner, officers, and
personnel from and against any claim, demand, loss, liability, damage, or expense (including
reasonable attorneys' fees and costs of defense) arising out of or relating to: (a) your bot's
configuration or behavior, or its effect on any Discord server or its members; (b) content you
submit to the Marketplace or a Gifting code you issue or redeem; (c) your violation of Discord's or
Microsoft's own terms; (d) your violation of these Terms or the Terms and
Conditions; or (e) your violation of any law or any third party's rights.
We reserve the right, at your expense, to assume the exclusive defense of any matter otherwise
subject to indemnification by you, in which case you agree to cooperate with our defense.

13. Force majeure

We are not liable for any failure or delay in NexGuild's operation caused by events beyond our
reasonable control, including outages or policy changes by Discord, Microsoft, top.gg, or any other
third-party service NexGuild connects to; internet or power outages; acts of government; or other
events of force majeure. Because NexGuild runs on your own device, most "outages" are actually a
third-party service being unavailable, not something we operate or can restore ourselves.

14. Termination

We may suspend or terminate your access to paid features or the owner super-user role for a
material violation of these Terms. You may stop using NexGuild, and delete your account/bots, at
any time via the in-app Settings page.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles, and the
courts at Kolkata, West Bengal shall have exclusive jurisdiction over any dispute arising from these

16. Assignment

You may not assign or transfer these Terms, or any right or obligation under them, without our prior
written consent. We may assign or transfer these Terms freely, including to a successor entity if
Neural Nexus Studios is later incorporated, reorganized, or its business is transferred.

17. Severability

If any provision of these Terms is found unenforceable or invalid under applicable law, that
provision will be limited or eliminated to the minimum extent necessary, and the remaining
provisions will remain in full force and effect.

18. Entire agreement

These Terms, together with the Terms and Conditions and the
Privacy Policy, are the entire agreement between you and us regarding NexGuild,
and supersede any prior or contemporaneous understanding on the subject, whether written or oral.

19. No waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or
provision, and does not prevent us from enforcing it (or any other right or provision) later.

20. Survival

Sections that by their nature should survive termination of your use of NexGuild — including §8
(third parties), §10 (disclaimer of warranties), §11 (limitation of liability), §12
(indemnification), §15 (governing law), and this §20 — survive any termination or expiration of
these Terms.

21. Notices

We may provide notices to you via the app itself (e.g. a Settings-page notice) or to the email
address associated with your Microsoft account. You may send us notices at the contact address in
§23 below.

22. Changes to these Terms

We may update these Terms as the app changes. Continued use of NexGuild after an update
constitutes acceptance of the revised Terms. Material changes will be flagged via the app or our
Support Server where reasonably possible.
