NexGuild Terms and Conditions — Marketplace & Gifting
Why this is a separate document from the Terms of Service: the Terms of
Service cover using the NexGuild application itself. The Marketplace and
Gifting features are different in kind — they move user-submitted content and redeemable codes
through a Discord channel Neural Nexus Studios operates as shared infrastructure across every
NexGuild install — so they get their own terms rather than being folded into the general ones.

These Terms and Conditions supplement the Terms of Service and apply
specifically to the Marketplace and Gifting modules. By using either feature, you agree to
both this document and the Terms of Service.
Part A — Marketplace
A.1 What the Marketplace is
The Marketplace lets you browse and share bot-configuration listings — node-graph
configurations for commands/events — with other NexGuild users. Listings are posted, as messages,
to a Discord channel that Neural Nexus Studios operates and every NexGuild install can read from
and post to. This is a content-sharing feature, not a payment marketplace: the Marketplace itself
does not process any payment, and listing/browsing configurations through it does not involve
NexGuild-brokered money changing hands.
A.2 What gets submitted
Before a listing leaves your device, NexGuild strips secrets (bot tokens, API keys) from the
underlying configuration graph. You are nonetheless responsible for reviewing what you submit — do
not include anything else you don't want made visible to anyone able to read that Discord channel
(server names, member ids, or other identifying content your configuration happens to reference).
A.3 Ownership and license
You retain ownership of any configuration you submit as a listing. By submitting it to the
Marketplace, you grant every NexGuild user a non-exclusive, royalty-free license to view, download,
and use that listing's configuration in their own bots. You represent that you have the right to
grant this license (e.g. the listing is your own original work, or you otherwise have permission to
share it).
A.4 Prohibited listings
You may not submit a listing that: infringes anyone's intellectual property or other rights;
contains malicious logic designed to harm the server or members of anyone who imports it; violates
Discord's Developer Terms or Community Guidelines; or is otherwise unlawful. We may remove any
listing, and may suspend Marketplace access for repeated violations, without liability to you.
A.5 No warranty on listings
Listings are submitted by other users, not by us. We do not review, endorse, or warrant the
safety, quality, or fitness of any listing. Importing and running a configuration from the
Marketplace is at your own risk. We strongly recommend testing any listing in a non-production/test
server before enabling it on a server that matters to you — the same care you'd take with any
other user-contributed content or script.
A.6 Reporting infringing or harmful listings
If you believe a listing infringes your intellectual property or other rights, or contains malicious
or harmful logic, contact us at neural.nex.studios@gmail.com with (a) a description of the listing
(its message id/channel, if known), (b) a description of the right you believe is infringed or the
harm you believe the listing causes, and (c) your contact information. We will make reasonable
efforts to review and, where warranted, remove the listing. Acting on a report is not an admission
that the listing was in fact infringing or harmful, and we are not obligated to remove a listing
absent our own determination that removal is warranted. We may suspend Marketplace access for
accounts that repeatedly submit infringing or harmful listings.
A.7 Practical limitations
The Marketplace is built on Discord messages rather than a dedicated database, so it has practical
limits on how much listing history is browsable at any one time; discoverability may change as we
improve the feature. We may change, limit, or discontinue the Marketplace at any time.
Part B — Gifting
B.1 What Gifting is
Gifting lets a subscription tier entitlement be issued as a redeemable code, delivered and
validated through a private Discord channel Neural Nexus Studios operates for this purpose (separate
from the Marketplace channel). A code is redeemed once, by one NexGuild account, for the tier grant
it carries.
B.2 No cash value
Gift codes are not currency, are not redeemable for cash or any payment method, and have no
value outside NexGuild's own tier system. We are not a payment processor for Gifting; how you
obtained a code (e.g. from another user, a promotion, or otherwise) is between you and whoever gave
it to you.
B.3 Redemption rules
A code may carry an expiration date; an expired code cannot be redeemed. A code is single-use —
once redeemed, by anyone, it cannot be redeemed again. We are not responsible for a code that is
lost, shared, or redeemed by someone other than its intended recipient before you redeem it — treat
a gift code like a gift card: whoever redeems it first gets the grant.
B.4 No warranty, no refunds
Gifting grants are provided "as is." Because no payment is processed through Gifting itself, there
is nothing for us to refund through this feature; if a code was purchased from a third party, any
dispute about that purchase is between you and that third party.
B.5 Practical limitations
Like the Marketplace, Gifting is built on Discord messages rather than a dedicated transactional
database. We make reasonable efforts to prevent a code from being redeemed twice, but under rare
timing conditions (near-simultaneous redemption attempts) this is not absolutely guaranteed. We may
change, limit, or discontinue Gifting at any time.
Part C — Shared terms
C.1 Relationship to the Terms of Service
Sections 8 (third parties), 9 (relationship of the parties), 10 (disclaimer of warranties), 11
(limitation of liability), 12 (indemnification), 13 (force majeure), 15 (governing law), 16–21
(assignment, severability, entire agreement, no waiver, survival, notices), and 22 (changes) of the
Terms of Service apply equally to the Marketplace and Gifting features
described here.
C.2 Our role
For both features, Neural Nexus Studios operates the Discord channel that stores and relays listings
or codes, but is not a party to any transaction, exchange, or agreement between users that a
listing or a gifted code may be connected to. We provide the mechanism; we do not guarantee any
outcome from using it.
